October 23, 2026

ABB has announced a strategic joint venture with Mitsubishi Electric’s low-voltage power distribution business, investing approximately $495 million to acquire a controlling 51% stake in the newly established company. The agreement, announced on October 20, 2026, is designed to strengthen ABB’s position in Japan and expand its presence across key growth markets in Asia-Pacific.

Under the proposed transaction, ABB will also acquire full ownership of the related Mitsubishi Electric low-voltage power distribution sales operations outside Japan. The deal is expected to close in the second half of 2027, subject to regulatory approvals and other customary closing conditions.

Strategic Partnership to Strengthen Low-Voltage Distribution

The joint venture will combine ABB’s global electrification technologies and international sales network with Mitsubishi Electric’s established customer relationships, product expertise, and manufacturing capabilities in Japan and other Asian markets.

For ABB, the partnership represents a significant step toward expanding its presence in Japan, one of the world’s major electrification markets. By integrating Mitsubishi Electric’s established local business with ABB’s global resources, the new company aims to provide a broader range of low-voltage power distribution and protection solutions to industrial, commercial, and infrastructure customers.

Mitsubishi Electric will retain a 49% stake in the joint venture, while ABB will hold the controlling 51% interest. ABB will also have an option to acquire the remaining shares in the medium term, creating the possibility of full ownership in the future.

Product Portfolio Covers Circuit Protection and Industrial Electrical Control

The business to be transferred includes a range of low-voltage electrical distribution and control products used in industrial facilities, commercial buildings, and infrastructure applications.

Key product categories include:

  • Low-voltage circuit breakers: Designed to protect electrical circuits against overloads and short circuits.

  • Switches and electromagnetic switches: Used for electrical switching and power distribution applications.

  • Motor starters and contactors: Components for controlling and switching electric motors in industrial equipment.

  • Measurement and control equipment: Products supporting electrical monitoring, measurement, and control functions.

  • Energy measurement and monitoring systems: Solutions for monitoring electrical consumption and supporting energy management.

  • Uninterruptible power supply (UPS) systems: General industrial UPS products rated at 5 kVA or below.

These products are important components in factory electrical systems, machine control panels, building power distribution networks, and other applications requiring reliable electrical protection and control.

Combining the two companies’ product portfolios and distribution channels could improve access to a wider range of low-voltage electrical equipment for customers throughout Asia-Pacific.

Financial Performance and Profitability Targets

According to ABB, Mitsubishi Electric’s low-voltage power distribution business generated approximately JPY 102 billion in net sales in fiscal year 2025, which ended in March 2026. The business reported a low-double-digit EBITDA margin during the same period.

ABB expects operational improvements and synergies from the joint venture to support stronger profitability over time. The company has set a target of achieving an operational EBITA margin of at least 20% within five years.

The transaction is also expected to contribute positively to ABB’s earnings per share after the first year, according to the company’s announcement.

These targets reflect ABB’s intention to combine its global scale and technology portfolio with Mitsubishi Electric’s established market position, improving the joint venture’s competitiveness in the low-voltage power distribution sector.

Implications for Industrial Automation and Electrical Equipment Buyers

Low-voltage power distribution equipment plays a critical role in protecting electrical systems, distributing power, and supporting the safe operation of industrial machinery. Circuit breakers, contactors, motor starters, and monitoring devices are widely used in manufacturing plants, automation systems, commercial facilities, and infrastructure projects.

For industrial equipment buyers, the proposed partnership could create opportunities for broader product availability and improved access to electrical distribution solutions across regional markets. The combination of ABB’s international distribution network and Mitsubishi Electric’s local expertise may also strengthen product support and customer service over the longer term.

However, the transaction has not yet been completed. Existing product arrangements, sales channels, and service structures should not be assumed to have changed immediately. Customers and distributors should continue to confirm product specifications, compatibility, availability, and ordering arrangements through the relevant authorized channels.

Expected Closing in the Second Half of 2027

ABB and Mitsubishi Electric signed the agreement on October 20, 2026. Completion remains subject to competition and other regulatory approvals, as well as customary closing conditions.

The transaction is expected to close in the second half of 2027. Until then, the two companies will continue through the required transaction and approval processes.

Once completed, the joint venture is expected to strengthen ABB’s position in Japan’s low-voltage electrical distribution market while providing a platform for further expansion across Asia-Pacific.

For the industrial automation and electrical equipment industry, the agreement highlights the strategic importance of low-voltage circuit protection, power distribution, and electrical control technologies as manufacturers seek to strengthen regional supply networks and respond to growing electrification demand.
